2.1 “Chariot”

For purposes of these Terms of Service (“Terms”) and all related legal policies, the term “Chariot” shall refer to Chariot Technologies LLC, a limited liability company organized and existing under the laws of the United States, including:

  • Its owners, directors, officers, employees, agents, legal representatives, and contractors;

  • Any affiliate, parent, or subsidiary entity that may develop, license, operate, or support the Services now or in the future;

  • All backend infrastructure, software systems, databases, APIs, machine learning models, cloud storage, and hosting environments used to deliver the Services;

  • Any mobile, desktop, wearable, embedded, or web-based application (collectively, the “Apps”) offered under the “Chariot” name, brand, logo, domain, or intellectual property;

  • All related features, services, digital goods, content modules, licensing tools, and AI-powered components, including any integrations with third-party services made available to users through Chariot’s platform.

“Chariot” shall also encompass all future versions, iterations, white-labeled deployments, or AI wrappers built on top of core infrastructure and operated by or on behalf of Chariot Technologies LLC.

Unless otherwise explicitly stated, all references to “we,” “us,” or “our” throughout these Terms shall be interpreted to mean Chariot Technologies LLC in its full operational and legal capacity.

2.2 “Services”

The term “Services” refers to the full suite of features, tools, functionality, content, software, and digital experiences offered, operated, or facilitated by Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”), whether directly or through authorized partners, including but not limited to:

  • AI-powered vehicle intelligence reports, including condition assessments, market valuation, resale analysis, maintenance prediction, and ownership advisories;

  • VIN decoding, metadata extraction, manufacturer data retrieval, and database lookups;

  • Conversational AI interfaces, natural language chat modules, prompt-based interactions, and embedded response engines;

  • Image-based analysis tools, including car image uploads, multi-angle interpretation, visual defect detection, and region-specific styling insights;

  • Document parsing, including PDF uploads, contract risk assessment, service record interpretation, and AI-generated summaries;

  • Access to tiered subscription plans, in-app purchases, and pay-per-report pricing models;

  • All user dashboards, navigation flows, analytics summaries, notification systems, and user-generated history logs;

  • Mobile and web applications offered under the Chariot brand;

  • Any third-party APIs, AI model calls, plugins, or integrated services that are made available to users via Chariot’s platform.

The “Services” also include all beta features, pre-release versions, and experimental modules unless explicitly excluded in writing.

You acknowledge that the Services may:

- Be updated, modified, or deprecated over time;

- Involve backend requests to third-party infrastructure, including but not limited to authentication providers, cloud platforms, data storage systems, payment processors, or licensed automotive data sources;

- Include output that is AI-generated, probabilistic, or non-deterministic in nature, and may evolve or vary between sessions or devices.


Unless otherwise stated, all usage of the Chariot app, APIs, chat interfaces, or purchased digital goods constitutes use of the “Services” under this agreement.

2.3 “User” / “You”

The terms “User”, “you,” or “your” refer to any individual, entity, organization, or authorized agent who:

  • Accesses, browses, downloads, installs, registers for, interacts with, purchases from, or otherwise uses the Chariot platform or any of its Services (as defined in Section 2.2), whether directly or on behalf of another party;

  • Accepts these Terms of Service, either by clicking to consent, using the Services, or by any other legally recognizable method of agreement;

  • Engages with Chariot’s mobile application, website, AI models, subscription offerings, or digital content in any capacity, whether free, trial-based, or paid.

This includes but is not limited to:

  • End-users seeking AI-powered vehicle reports or vehicle insights;

  • Individuals uploading images, documents, VINs, or other data for analysis;

  • Subscribers to Chariot’s recurring plans or purchasers of one-time reports;

  • Authorized agents, employees, or representatives acting on behalf of businesses, dealerships, fleets, law firms, insurers, or institutions;

  • Developers or integrators accessing Chariot via APIs or SDKs.

You further represent and warrant that:

  • You have the legal authority to bind yourself or any entity you represent to these Terms;

  • If accessing on behalf of a group, company, or agency, you assume responsibility for all actions taken under your account or on your behalf;

  • You are solely responsible for compliance with all applicable laws, rules, and regulations in connection with your use of the Services.

Use of the term “User” in these Terms includes both registered and unregistered users, and applies regardless of jurisdiction, citizenship, or residency.

2.4 “Account”

The term “Account” refers to the unique, identifiable user profile created or associated with an individual or entity for the purpose of accessing and interacting with the Services (as defined in Section 2.2) provided by Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”).

An Account may be established through:

  • Traditional registration via email address and password;

  • OAuth-based login using third-party identity providers (e.g., Google, Apple, or other supported SSO services);

  • Device-bound sessions tied to unique device identifiers (UUIDs), secure tokens, or session fingerprints;

  • API credentials or SDK tokens assigned to authorized users or partners.

Each Account includes, but is not limited to:

  • Personally identifiable information or metadata used for login, such as email, name, IP address, device ID, or phone number;

  • Associated billing details, subscription history, usage logs, chat sessions, and image/document upload records;

  • Stored preferences, tokens, or usage caps tied to specific tiers or entitlements;

  • A secure access layer to protected content such as AI reports, subscription features, and uploaded media.

You acknowledge and agree that:

  • You are solely responsible for all activity conducted through your Account, regardless of whether such activity was authorized by you;

  • You may not share, sell, lease, sublicense, or allow others to access your Account without Chariot’s prior written consent;

  • Chariot may restrict, suspend, or terminate your Account if it suspects unauthorized use, security breaches, abuse, or violations of these Terms;

  • You must promptly notify Chariot of any known or suspected unauthorized access to your Account.

Chariot reserves the right to:

  • Link multiple user sessions to a single Account identity if consistent access patterns, metadata, or identifiers are detected;

  • Treat any access to the Services via authenticated means as performed by the Account holder.

2.5 “Report”

The term “Report” refers to any output, file, structured content, or digital artifact generated or compiled by Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”) as a result of the user’s interaction with the Services, whether delivered via mobile app, web interface, API, or downloadable file (e.g., PDF).

This includes, but is not limited to:

  • VIN-based vehicle reports, including decoding of manufacturer data, production history, market positioning, recall indicators, and resale valuation;

  • AI-powered image analysis results, based on user-uploaded vehicle photographs and computer vision models, including aesthetic assessment, potential damage detection, and photo-driven condition estimations;

  • Uploaded document reviews, such as scanned PDFs, contracts, service records, or inspection sheets that are parsed and interpreted via AI to highlight risk, cost flags, or legal concerns;

  • Comprehensive summaries, generated using Chariot’s proprietary or licensed natural language systems, including narrative risk summaries, condition scoring, and personalized insights;

  • Comparative intelligence, such as pricing bands, trend signals, warning indicators, or feature-by-feature comparisons with similar makes or models.

A Report may be:

  • Accessed on demand or stored in the user’s Account;

  • Generated via subscription access, one-time purchase, or promotional credits;

  • Subject to access limitations, expiration dates, or usage caps depending on the user’s plan or pricing tier.

You acknowledge and agree that:

  • All Reports are generated using probabilistic AI systems and external data sources, and therefore may contain errors, approximations, or outdated content;

  • Reports are not guaranteed to be 100% accurate, complete, or legally authoritative, and are intended to provide informational and advisory value only;

  • Chariot assumes no liability for user actions taken solely based on Report content, and Reports do not constitute legal, financial, or mechanical advice;

  • Reports may vary in format, depth, or quality depending on the data available, the AI model used, the subscription tier, and current platform capabilities.

Unless otherwise specified, the term “Report” includes both on-screen summaries and exported/downloaded file versions (e.g., PDF, JSON, HTML).

2.6 “Subscription”

The term “Subscription” refers to a recurring payment-based access plan offered by Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”) that entitles a registered User (as defined in Section 2.3) to unlock specified features, tools, usage limits, and AI services within the Chariot platform over a defined billing interval.

Subscriptions may be offered in the form of:

  • Weekly, monthly, quarterly, or annual billing cycles;

  • Plans differentiated by name or tier (e.g., Standard, Pro, Max Insight, etc.);

  • Platform-specific offerings made available via in-app purchases, including through the Apple App Store, Google Play, or other supported payment processors.

A Subscription grants access to:

  • Feature gating, where certain tools or reports (e.g., chat sessions, image uploads, document analysis) are only available to subscribers;

  • Usage thresholds, including a set number of tokens, uploads, scans, or interactions per day, week, or month;

  • Priority access, reduced latency, deeper report insights, or additional session history depending on tier;

  • Ongoing feature enhancements, bug fixes, and model improvements tied to that tier.

You acknowledge and agree that:

  • A Subscription does not include full report generation by default, unless explicitly stated; reports may be available via separate one-time purchases;

  • Subscriptions auto-renew unless canceled in accordance with the platform or store's terms;

  • All billing, renewal, refund, and cancellation policies are governed by Chariot’s Subscription Policy and any applicable third-party payment processor terms;

  • Downgrading, canceling, or allowing a subscription to lapse may result in loss of access to gated features, accumulated usage, stored reports, or session history;

  • Chariot reserves the right to modify pricing, thresholds, or entitlements upon providing adequate notice, and such changes may affect renewal pricing or limits.

Unless otherwise stated, subscription plans are non-transferable, tied to your Account (as defined in Section 2.4), and subject to enforcement under Chariot’s abuse control and fair use policies.

2.7 “One-Time Purchase”

The term “One-Time Purchase” refers to a non-subscription, non-renewing, non-refundable payment made by a User (as defined in Section 2.3) to access a standalone feature, tool, or AI-powered report offered within the Chariot platform.

This includes, but is not limited to:

  • Individual AI-generated reports, priced dynamically between $14.99 and $49.99, depending on depth, input complexity, or included features (e.g., multi-image photo analysis, contract review, advanced insights);


  • A la carte tools such as VIN history pull, full PDF scan and summary, chat transcript export, or extended vehicle insights;


  • Pay-per-use expansions made available to users without requiring a recurring Subscription (as defined in Section 2.6).


You acknowledge and agree that:

  • One-Time Purchases are single-use, non-renewing, and non-transferable;


  • These purchases do not include access to gated subscription features, chat entitlements, or ongoing usage credits unless specifically stated;


  • Refunds are not guaranteed unless required by applicable law or clearly indicated at point of sale;


  • Delivery of the purchased item (e.g., PDF download, report unlock) shall occur promptly upon payment confirmation, and such delivery shall constitute fulfillment of the transaction;


  • Access to purchased content may be time-limited or tied to your account/device, and Chariot reserves the right to expire, revoke, or archive content due to misuse, inactivity, or platform upgrades.


One-Time Purchases may be facilitated via:

  • In-app payment flows through third-party platforms such as Apple App Store or Google Play;


  • Direct payment links, Stripe Checkout, or web-based merchant gateways approved by Chariot;


  • Gift codes, promo tokens, or enterprise credits redeemed against predefined features.


Unless otherwise stated in writing, One-Time Purchases do not auto-renew, and each transaction shall be governed by the version of these Terms of Service effective at the time of payment.



2.8 “Session”

The term “Session” refers to a discrete, uniquely identifiable window of interaction between the User (as defined in Section 2.3) and Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”) through any part of the Services (as defined in Section 2.2).

A Session may include, but is not limited to:

  • Initiating a chat conversation with Chariot’s AI model, including the exchange of one or more prompts, responses, or contextual follow-ups;


  • Uploading images, PDFs, or documents for AI analysis, report generation, or commentary;


  • Triggering one or more backend AI calls, whether from natural language queries, report workflows, or prompt-driven interfaces;


  • Executing paid or trial actions, such as contract review, image interpretation, or VIN analysis;


  • Engaging with the platform via web or mobile in a way that causes stateful interactions to be logged, stored, or processed by the AI pipeline.


You acknowledge and agree that:

  • Each Session may be monitored, timestamped, and rate-limited for the purposes of account metering, subscription enforcement, and abuse prevention;


  • Chariot may, at its discretion, define the boundaries of a Session based on factors including user activity, token consumption, elapsed time, or backend model usage;


  • Sessions may expire automatically after periods of inactivity or technical timeout thresholds, and session history may be purged in accordance with Chariot’s Data Retention Policy;


  • Sessions may be counted individually for the purposes of subscription quotas, feature gating, or usage billing, even if part of a continuous user experience;


  • Session history, including uploaded media and chat logs, may be stored, analyzed, or anonymized for quality assurance, abuse detection, and service improvement.


Chariot reserves the right to group, split, or merge Sessions dynamically in response to evolving usage patterns, technical optimizations, or platform design updates.



2.9 “Token”

The term “Token” refers to the fundamental unit of measurement for text, code, or data processed by artificial intelligence (AI) systems used within the Chariot platform, including but not limited to natural language generation, computer vision, and document parsing models.

A Token may consist of:

  • A word fragment, word, or punctuation mark, depending on the language model’s tokenizer;


  • A unit of input or output text passed to or generated by the AI model during a Session (as defined in Section 2.8);


  • A unit of encoded content derived from prompts, instructions, document contents, or chat responses;


  • Combined characters, such as “car,” “chatting,” or “$12,000,” each of which may account for multiple tokens depending on length and formatting.


Tokens are:

  • Used to measure the computational cost of a given AI interaction;


  • Tracked at a per-user, per-session, or per-plan level, depending on the subscription or feature used;


  • Subject to daily, weekly, or monthly quotas imposed by Subscription plans (see Section 2.6), one-time usage policies, or trial limits;


  • Logged and metered to prevent abuse, ensure platform stability, and allocate resources fairly among users.


You acknowledge and agree that:

  • Token usage applies to chat input, chat output, image interpretation descriptions, document extractions, and report generation prompts;


  • Token limits may vary by subscription tier, model used (e.g., GPT-4o, vision model, fine-tuned model), or feature (e.g., real-time chat vs batch report);


  • Chariot reserves the right to pause or restrict usage once a Token limit is reached, and may offer top-up, overage billing, or feature downgrade options;


  • All Token calculations are final, server-side, and non-negotiable, based on usage logs at the infrastructure level;


  • Token usage may be made visible to the user via account dashboards, receipts, or usage summaries.


Unless explicitly included, Token usage does not guarantee response depth, accuracy, or completeness of AI output and is simply a computational accounting metric.



2.10 “Prompt”

The term “Prompt” refers to any user-submitted input, instruction, message, file reference, or inquiry—in textual, visual, or symbolic form—submitted through the Chariot platform for processing by its artificial intelligence (AI) systems.

This includes, but is not limited to:

  • Typed or spoken natural language messages submitted in the chat interface;


  • Image-attached instructions or text accompanying uploaded photos;


  • VIN codes, PDF text, contract excerpts, or scanned documentation;


  • Follow-up queries within a Session (as defined in Section 2.8) that reference earlier input;


  • Any command intended to influence, guide, or direct the behavior of Chariot’s AI features, whether explicit or implied.


You acknowledge and agree that:

  • Prompts are processed, interpreted, and transformed by AI systems which may rely on probabilistic reasoning, context memory, tokenization (see Section 2.9), and externally sourced metadata;


  • The quality and accuracy of any output or Report (see Section 2.5) is directly dependent on the clarity, completeness, and appropriateness of the Prompt submitted;


  • Chariot does not guarantee the reliability, factual accuracy, or fitness for purpose of responses generated in reply to a Prompt;


  • By submitting a Prompt, you grant Chariot a non-exclusive, royalty-free, worldwide, transferable license to use, store, analyze, and process that Prompt for the purpose of delivering Services, improving product quality, detecting abuse, and training future models (in anonymized form, where applicable);


  • Chariot may reject, filter, restrict, or flag Prompts that violate its User Conduct Policy, contain prohibited content, or are designed to elicit deceptive, malicious, or unsafe outputs.


Unless otherwise specified, all Prompts are treated as non-confidential and non-proprietary, except where uploaded documents or images are covered by additional privacy terms.



2.11 “Output” / “AI Output”

 The terms “Output” or “AI Output” refer to any response, result, recommendation, label, analysis, visualization, or structured insight generated by Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”) using artificial intelligence (AI) or machine learning systems in response to a Prompt (as defined in Section 2.10), uploaded image, document, or other input provided by the User.

AI Output may include, but is not limited to:

  • Text-based summaries, risk assessments, condition descriptions, disclaimers, or valuation suggestions;


  • Labeling or scoring of content (e.g., “moderate wear,” “title risk,” “overpriced,” “poor lighting,” “contract flag”);


  • Extracted or highlighted terms from user-uploaded documents such as VIN contracts, service records, or PDFs;


  • Narrative generation, such as conversational replies in chat, recommendation blocks in a Report (see Section 2.5), or warnings;


  • Visual overlays or annotations produced during image analysis phases.


You acknowledge and agree that:

  • AI Output is automatically generated by probabilistic language models, computer vision systems, or structured inference engines, and may contain inaccuracies, misclassifications, outdated information, or misleading phrasing;


  • AI Output is provided solely for informational purposes and does not constitute legal, mechanical, financial, or contractual advice;


  • Chariot makes no warranties regarding the correctness, usefulness, legality, or completeness of any Output, and accepts no liability for actions taken based on Output content;


  • Output may differ between users, models, or sessions, even when the same prompt is submitted, due to evolving model behavior, context differences, or versioning;


  • Output may be influenced by user-provided Prompts, image quality, data ambiguity, or system constraints, and should be independently verified before being relied upon in any consequential decision;


  • All AI Output remains the intellectual property of Chariot and is licensed to the User for personal, non-commercial use only, unless explicitly stated otherwise.


Chariot reserves the right to log, review, refine, or retrain its systems on Output data (in anonymized or aggregated form) for the purpose of quality assurance, compliance auditing, or system improvement.



2.12 “Vision Model”

The term “Vision Model” refers to Chariot Technologies LLC’s proprietary or licensed artificial intelligence system designed for image-based interpretation, used within the Chariot platform to analyze, classify, extract, and infer information from user-uploaded photos, screenshots, or visual documents.

This system includes any machine learning, computer vision, or multimodal models that:

  • Detect and identify vehicle components, such as exterior damage, lighting issues, license plates, tire wear, dashboard states, or manufacturer features;


  • Estimate vehicle condition, lighting environment, or photographic quality;


  • Recognize objects, text (OCR), symbols, or structured patterns within uploaded images;


  • Associate visual elements with known metadata, e.g., vehicle year/make/model, accident indicators, branding, or inspection areas;


  • Generate AI Output (see Section 2.11) in the form of risk flags, component-level tags, or narrative summaries based on visual cues.


You acknowledge and agree that:

  • The Vision Model is a probabilistic, non-deterministic system and its inferences may be imperfect, misclassified, or incomplete;


  • The accuracy of Vision analysis is dependent on factors including image quality, angle, lighting, resolution, obstructions, and user input;


  • The Vision Model does not perform mechanical inspections, and any outputs are to be treated as preliminary visual suggestions only;


  • Users should not rely on Vision Output alone to make legal, financial, or safety decisions;


  • Chariot makes no warranties as to the correctness of Vision-based inferences and disclaims all liability for actions taken based on such results;


  • Vision analysis is subject to token usage, session limits, subscription gating, or additional purchase requirements.


All visual data submitted to the Vision Model is subject to Chariot’s Privacy Policy, Data Retention Policy, and Abuse Detection Protocols, and may be used (in anonymized form) to improve model performance or audit system integrity.



2.13 “Document Analysis”

The term “Document Analysis” refers to the automated parsing, extraction, interpretation, and summarization of user-uploaded files—including but not limited to PDFs, scans, text files, images of printed pages, or machine-readable contracts—using AI models integrated within the Chariot platform.

This process may include:

  • Optical Character Recognition (OCR) to convert scanned content into structured, analyzable text;


  • Detection of contractual language, such as lease terms, warranties, exclusions, fees, limitations, or arbitration clauses;


  • Extraction of key entities, such as names, dollar amounts, timelines, VIN numbers, lienholders, or dealers;


  • Highlighting of potential legal, financial, or risk-based concerns, including misaligned clauses, junk fees, ambiguous language, or excessive interest;


  • Generation of summarized insights or side-by-side comparisons with standard industry contracts, leases, or purchase agreements.


You acknowledge and agree that:

  • Document Analysis is performed using natural language processing and machine learning systems and is inherently probabilistic, not deterministic;


  • Chariot does not guarantee legal accuracy, enforceability assessments, or completeness of any extracted term or interpretation;


  • Document Analysis does not replace a licensed attorney, certified mechanic, or dealership financial advisor, and the results should be treated as suggestive only;


  • Chariot disclaims all liability for misinterpretations, missed clauses, or reliance on summaries generated by the system;


  • The output may vary based on document formatting, quality, embedded fonts, layout complexity, scan legibility, or optical noise;


  • Certain elements (e.g., handwritten notes, stamps, or low-resolution scans) may be excluded or inaccurately parsed;


  • Uploaded files are subject to session limits, plan-based gating, token consumption, and may have file size or page count limits depending on the feature tier.


All documents uploaded for analysis are processed under the scope of Chariot’s Privacy Policy, Token Usage Policy, and Abuse Detection protocols, and may be archived or flagged if abuse is detected.



2.14 “VIN”

The term “VIN” refers to the Vehicle Identification Number, a globally standardized, 17-character alphanumeric code assigned to each individual motor vehicle by its manufacturer. The VIN serves as a unique digital fingerprint for that vehicle and encodes key information such as make, model, year, manufacturing plant, engine type, and serial number.

Within the context of Chariot Technologies LLC (“Chariot,” “we,” “us,” or “our”), a VIN may be:

  • Manually entered by a User, extracted from uploaded documents, or scanned from images;


  • Used to initiate a vehicle lookup, which may trigger external API requests to licensed data providers (e.g., VIN decoding services, title history databases, registration records);


  • Analyzed in conjunction with photos, prompts, or documents to cross-reference risk factors, recall data, known defects, or pricing insights;


  • Utilized in AI-generated Reports (see Section 2.5) to populate metadata fields or summarize historical data.


You acknowledge and agree that:

  • VINs are subject to third-party data source limitations, and Chariot does not guarantee that all decoded or retrieved information is complete, current, or error-free;


  • Chariot may store or cache VIN entries for report generation, model improvement, fraud prevention, or system diagnostics;


  • Entering a VIN may consume session tokens or be restricted based on subscription or report gating policies;


  • VIN lookups are provided for informational purposes only and are not legally binding, nor do they replace DMV, dealership, or manufacturer-issued records;


  • Chariot is not responsible for errors in VIN transcription, decoding anomalies, or mismatches resulting from altered, partial, or fraudulent VINs.


All VIN data entered, stored, or processed within the platform is handled in accordance with Chariot’s Privacy Policy, Data Residency Policy, and applicable PII protection laws.



2.15 “Chat”

The term “Chat” refers to the interactive, conversational interface made available within the Chariot platform that enables Users (as defined in Section 2.3) to send text-based Prompts (see Section 2.10) and receive AI-generated Output (see Section 2.11) in response.

This system includes:

  • Multi-turn conversations, where prior context is maintained across a series of prompts and responses within a single Session (see Section 2.8);


  • Single-turn queries, where no historical context is retained beyond the immediate exchange;


  • Support for natural language input, clarifying questions, and follow-ups;


  • AI-generated messages that may include summaries, comparisons, suggestions, warnings, or references to visual, contract, or VIN data.


You acknowledge and agree that:

  • Chat responses are AI-generated and not human-reviewed, and should not be interpreted as professional advice, certification, or guarantees;


  • Chariot may limit the number of chat threads, messages per thread, token usage per session, or daily chat caps depending on your subscription plan (see Section 2.6);


  • Chariot may log and retain Chat transcripts for quality assurance, abuse prevention, analytics, and system improvements, subject to the Privacy Policy and retention controls;


  • The accuracy, tone, or formatting of Chat responses may vary due to model versioning, prompt ambiguity, or user phrasing;


  • Users are prohibited from using Chat to generate, request, or facilitate any prohibited content under the User Conduct Policy (Section 11);


  • Abuse of the Chat feature—including prompt injection, spam generation, or adversarial testing—may result in temporary suspension or permanent account termination.


Chat functionality is governed by Chariot’s AI Disclaimer, Prompt Use Policy, and Token Usage Policy, and may be restricted, suspended, or adapted based on evolving platform needs or regulatory obligations.



2.16 “Thread”

The term “Thread” refers to a chain of consecutive chat messages exchanged between the User and Chariot’s AI models within a logically connected conversational context. A Thread typically exists within a single Session (see Section 2.8) and is designed to maintain conversational continuity using the platform’s AI memory and context retention systems.

A Thread may include:

  • An initial Prompt (see Section 2.10) and one or more AI Outputs (see Section 2.11);


  • Follow-up messages, clarifying questions, or user responses tied to the original query;


  • Contextual memory boundaries determined by token limits, model constraints, or timeout windows;


  • A chain of logic that informs or is referenced by the AI in forming responses within the same thread.


You acknowledge and agree that:

  • Threads are temporary logical constructs, and context may be lost if token windows are exceeded, if there is an interruption, or if the session expires;


  • Chariot does not guarantee complete memory or coherence across long threads, nor does it preserve conversation state beyond designated limits;


  • Threads may be subject to usage metering, token consumption (see Section 2.9), or session caps depending on your subscription or plan;


  • Chariot may log, store, or analyze Threads for product improvement, abuse detection, and quality control, as permitted by its Privacy Policy;


  • Users are solely responsible for the content submitted within Threads, including prompts that build upon earlier replies;


  • Threads may be reset, archived, or auto-deleted in accordance with system policies, inactivity timers, or storage limits.


A Thread does not guarantee historical accuracy or persistent memory, and users are advised to treat each interaction as stateless unless otherwise indicated by the platform.



2.17 “Upload”

The term “Upload” refers to any action by which a User submits a file—including but not limited to images, PDFs, contracts, screenshots, scans, or other supported document formats—to the Chariot platform for analysis, storage, enhancement, AI processing, or review.

Uploads may be initiated through:

  • File selection via the user interface (e.g., camera roll, file picker, drag-and-drop),


  • Native camera input or real-time capture tools,


  • Background uploads triggered by user interaction with another platform feature (e.g., chat, report generation),


  • API endpoints (where applicable in enterprise integrations).


You acknowledge and agree that:

  • By uploading a file, you grant Chariot a limited, revocable, royalty-free, non-exclusive license to store, process, parse, and analyze the content using AI models or internal systems, solely for the purpose of providing the Services;


  • Uploaded content may be used to generate AI Output, including risk assessments, summaries, comparisons, alerts, annotations, or narrative responses;


  • All Uploads are subject to format and size limitations, which may vary depending on plan tier, file type, model constraints, and platform updates;


  • Uploads may consume tokens (see Section 2.9), invoke session usage (see Section 2.8), or be restricted by daily/monthly plan quotas;


  • Chariot reserves the right to scan, review, or flag uploads that violate the platform’s Acceptable Use Policy (see Section 11), including—but not limited to—prohibited content, misinformation, malicious code, or illicit images;


  • Chariot makes no guarantees about the integrity, legibility, accuracy, or fitness-for-purpose of any content derived from an Upload;


  • Users are responsible for ensuring they have the legal right to upload the file, and that it does not infringe upon copyright, trade secret, PII privacy laws, or third-party agreements.


Uploads are governed by Chariot’s Privacy Policy, Data Residency Policy, and may be deleted upon user request, automatically purged based on retention windows, or archived under account-linked storage rules.



2.18 “In-App Purchase” / “IAP”

The terms “In-App Purchase” or “IAP” refer to any payment transaction initiated by a User within the Chariot mobile application interface, including but not limited to purchases processed through the Apple App Store, Google Play Store, or other embedded mobile commerce platforms used for payment facilitation.

In-App Purchases may include:

  • One-Time Report purchases, which grant access to individual vehicle reports or features (see Section 2.7);


  • Subscription plan activations, billed on a recurring basis (e.g., weekly, monthly, annually);


  • Feature unlocks, such as additional image uploads, chat threads, or advanced analysis packs;


  • Tier upgrades or downgrades, based on current eligibility or feature set access.


You acknowledge and agree that:

  • All IAPs are subject to the billing policies and terms of the relevant app store platform (Apple, Google, or others), which may supersede or supplement these Terms;


  • Chariot does not directly process payment details, store credit card information, or control refund eligibility—such functions are governed by the policies of the app store provider;


  • Chariot cannot guarantee resolution of payment disputes, delays, subscription syncing, or unauthorized purchases arising from third-party app store issues;


  • In-App Purchases may be non-refundable, and any refund request must be submitted through the original app store where the transaction was made;


  • Chariot may restrict or disable access to certain services until the underlying IAP is successfully processed, verified, or restored;


  • Failure to complete an IAP may result in limited functionality, revoked access to reports, downgraded usage caps, or session interruptions;


  • Some IAPs may involve introductory pricing, free trials, renewal logic, or per-country billing variations, which are subject to platform-specific rules and disclosures.


Users are solely responsible for reviewing their IAP receipts, managing renewals, canceling subscriptions, and maintaining secure credentials on app store accounts. Chariot is not liable for accidental purchases, child-authorized transactions, or delays in store-side confirmation.



2.19 “Usage Limit”

The term “Usage Limit” refers to the maximum quantity or frequency of certain Services or features—such as token usage, image uploads, file analysis, chat threads, or model calls—that a User may access under their current Subscription Plan, One-Time Purchase, Free Trial, or promotional tier.

Usage Limits may apply to, but are not limited to:

  • The total number of tokens (see Section 2.9) processed via AI chat, vision model, or document analysis;


  • The number of image uploads or document files submitted for AI processing per day, week, or billing cycle;


  • The number of active or saved threads, prompts, or session restarts allowed;


  • The availability of premium features (e.g., contract review, vision overlays, deep research insights) under gated plans;


  • Concurrent device use, rate-limiting of prompts, or account-based throttling to prevent abuse.


You acknowledge and agree that:

  • Usage Limits are automatically enforced by Chariot’s systems and may result in temporary restriction, queue delays, or access denial once the quota is exhausted;


  • Some plans may allow for soft caps with throttled speed, while others enforce hard caps that fully disable gated functionality until renewal or upgrade;


  • Usage Limits are defined per billing cycle (e.g., monthly or weekly) and may reset automatically or on a rolling basis depending on the structure of your Subscription or IAP;


  • Users are responsible for monitoring their own usage, and Chariot may provide in-app counters or alerts but is not required to notify you prior to hitting a limit;


  • Additional usage beyond your limit may require a separate One-Time Purchase, plan upgrade, or token top-up;


  • Attempting to bypass or manipulate Usage Limits (e.g., via spoofing, multiple accounts, or unauthorized API access) may result in account suspension, feature throttling, or permanent ban;


  • Usage quotas may be subject to change as Chariot evolves its platform, pricing, or service tiers—especially when tied to upstream cost structures (e.g., model or storage providers).


All Usage Limits are governed by Chariot’s Subscription Policy, Token Usage Policy, and corresponding sections in these Terms. Users agree to abide by all technical and commercial constraints associated with their selected plan or purchase type.



2.20 “Free Trial”

The term “Free Trial” refers to a limited-time promotional access window during which a User may access certain premium Services, features, or usage tiers within the Chariot platform without immediate charge.

Free Trials may include access to:

  • AI-powered chat sessions with elevated token caps,


  • Vision-based image uploads and report previews,


  • Contract or PDF analysis features,


  • Plan-locked modules such as premium vehicle insights or data overlays.


You acknowledge and agree that:

  • Free Trial eligibility is determined solely by Chariot, and may be offered once per user, per device, per payment method, or per account lifetime;


  • Activation of a Free Trial may require valid payment credentials, and may automatically convert to a paid subscription (e.g., weekly, monthly, or annual) unless the User cancels prior to the trial expiration;


  • Users are solely responsible for monitoring their trial duration, and Chariot is not obligated to send reminder notifications prior to conversion;


  • Any attempt to abuse Free Trial mechanics, including creating multiple accounts or using identity obfuscation tools to re-trigger trial eligibility, may result in permanent account restrictions or bans;


  • Free Trials are non-transferable, non-redeemable for cash, and may be modified, withdrawn, or suspended at any time at Chariot’s sole discretion;


  • Some platform features may remain restricted or usage-capped during Free Trials, depending on operational cost or model access tier;


  • Users may lose access to trial-based content, generated outputs, or stored files if they fail to convert to a paid plan upon trial expiration.


All Free Trial activations, renewals, and terminations are governed by Chariot’s Subscription Policy, App Store Billing Rules, and Token Usage Policy, as well as the refund and cancellation policies of the relevant app store provider.



2.21 “Device”

The term “Device” refers to any hardware endpoint used by a User to access Chariot’s Services, including but not limited to:

  • Mobile phones (iOS, Android, or other operating systems),


  • Tablets and touch-screen computing devices,


  • Laptop or desktop computers,


  • Wearables or smart display integrations (where supported),


  • Emulated or virtual environments running mobile or browser sessions.


You acknowledge and agree that:

  • Each Device may be assigned a unique identifier used by Chariot to enforce session security, track usage, monitor abuse, or apply per-device limits (e.g., Free Trials or Upload quotas);


  • Access to certain Services may be restricted, modified, or denied based on your Device type, platform version, or OS compatibility;


  • Features, performance, and interface behavior may differ across Devices, and Chariot does not guarantee uniform functionality or rendering on unsupported or outdated hardware;


  • Multiple Devices may be linked to a single Chariot account, but certain plan tiers or security rules may restrict the simultaneous use or total number of linked Devices;


  • Chariot may use device metadata (e.g., screen size, OS version, IP address, input type) for fraud prevention, usage tracking, or feature optimization;


  • Any unauthorized attempt to spoof, mask, or emulate Devices in a way that circumvents plan restrictions, geo-fencing, or usage limits may result in immediate account termination.


Use of the Services on a Device is also subject to all other provisions within these Terms, including but not limited to the Token Usage Policy, Free Trial Eligibility, and Data Storage Rules.



2.22 “Third-Party Service”

The term “Third-Party Service” refers to any external platform, vendor, tool, software library, infrastructure provider, data source, or API that is not owned or controlled by Chariot Technologies LLC, but is integrated with, embedded in, or required to operate the Chariot app, website, or Services.

**Examples include, but are not limited to:**

- Authentication & database services such as Supabase;

- AI model providers and inference engines integrated for natural language, vision, or document analysis;

- Subscription and billing systems such as RevenueCat, Apple In-App Purchases, or Google Play Billing;

- Analytics, cloud storage, or crash monitoring tools such as Google Cloud, Sentry, or Mixpanel;

- Single Sign-On (SSO), OAuth, and login providers such as Google or Apple.

**You acknowledge and agree that:**

1. Chariot relies on these Third-Party Services to deliver core functionality, but makes no warranties or guarantees as to their uptime, behavior, or data accuracy;

2. Use of certain Services may be subject to the terms, privacy policies, usage limits, and service levels of such Third-Party Services, which may differ from those of Chariot;

3. If any Third-Party Service fails, restricts access, experiences an outage, or imposes new limitations, it may temporarily or permanently impact the availability or performance of corresponding Chariot features;

4. Chariot does not assume liability for any damage, breach, loss, or limitation arising from or caused by the behavior of a Third-Party Service;

5. Your data submitted through Chariot may transit or be processed by these external services solely for the purposes of delivering the requested functionality, as outlined in our Privacy Policy;

6. Chariot reserves the right to change, substitute, remove, or migrate from any integrated Third-Party Service at any time for security, operational, or business reasons.

By using Chariot, you expressly consent to such third-party dependencies and acknowledge the inherent limitations of a service that leverages external technologies.


2.23 “Personal Data” / “PII”

The terms “Personal Data” and “Personally Identifiable Information” (PII) refer to any information, whether alone or in combination, that can be used to identify, contact, or locate a specific individual—either directly or indirectly.

Examples of Personal Data include, but are not limited to:

  • Full names, usernames, or display names tied to a user account;


  • Vehicle Identification Numbers (VINs) that can be traced back to registration records;


  • Photographs or image uploads that include license plates, driver profiles, address labels, or identifying landmarks;


  • Email addresses, phone numbers, postal codes, or user-submitted contact details;


  • Geolocation data, IP addresses, device metadata, and behavioral tracking information;


  • Uploaded documents or contracts containing names, signatures, business addresses, or legal entities.


You acknowledge and agree that:

  • By submitting Personal Data through Chariot’s Services—whether intentionally or incidentally—you consent to its collection, processing, and analysis solely for the purpose of delivering the requested functionality;


  • Chariot processes Personal Data in accordance with its Privacy Policy, applicable data residency laws, and international regulations such as the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and others;


  • Chariot implements reasonable technical and organizational safeguards to protect PII, but cannot guarantee absolute security, particularly for data sent via third-party integrations or uploaded via unencrypted networks;


  • Users are solely responsible for not submitting unnecessary or excessive Personal Data, especially when uploading documents or images not required for a given use case;


  • If you are submitting Personal Data belonging to another individual (e.g., buyer, seller, mechanic, previous vehicle owner), you represent that you have obtained lawful consent or are otherwise authorized to do so;


  • Chariot may retain certain forms of PII for audit logging, abuse prevention, fraud detection, or legal compliance, subject to data retention and deletion policies;


  • Misuse or unauthorized sharing of PII within or through Chariot’s systems may result in account suspension, legal action, or regulatory reporting.


Personal Data handling is further governed by Chariot’s Privacy Policy, Security Policy, and any applicable Region-Specific Rights (see Section 37).



2.24 “Dispute”

The term “Dispute” refers to any disagreement, complaint, controversy, or claim—whether legal, contractual, administrative, or informal—arising between a User and Chariot Technologies LLC (collectively, “the Parties”) that relates to or stems from:

  • The access, use, or attempted use of Chariot’s Services, features, reports, or subscriptions;


  • The accuracy, reliability, or interpretation of AI-generated content, advice, or model behavior;


  • The purchase, refund, billing, or cancellation of any Subscription Plan or One-Time Report;


  • The handling, processing, or misuse of uploaded data, images, documents, or PII;


  • The enforcement, interpretation, or alleged breach of these Terms of Service, Privacy Policy, or any other legally binding policy or agreement;


  • Any communication, interaction, or support event between the User and Chariot or its representatives.


You acknowledge and agree that:

  • A Dispute may arise regardless of whether the matter sounds in contract, tort, statute, fraud, misrepresentation, negligence, or otherwise;


  • A Dispute includes not only current disagreements, but also past, ongoing, or reasonably foreseeable issues stemming from the use of Chariot Services;


  • The term applies to individual and class-based claims, as well as any dispute that may be subject to arbitration, mediation, or litigation;


  • All Disputes shall be resolved under the Arbitration and Dispute Resolution procedures described in Section 5 of these Terms;


  • Initiating a Dispute does not entitle the User to withhold payment, bypass usage limits, or violate the Terms pending resolution.


Disputes are also governed by applicable Governing Law & Jurisdiction (Section 4), and any region-specific consumer protection rights as defined under Section 37.



2.25 “Terms”

The term “Terms” refers to this Terms of Service agreement in its entirety, including:

  • All sections, definitions, and clauses contained herein;


  • All linked or incorporated policies, such as the Privacy Policy, Subscription Policy, AI Risk Disclosures, Refund Policy, and any region-specific compliance addenda;


  • Any updates, modifications, or revisions published by Chariot on its website, mobile application, or legal documentation portals;


  • Any additional legal notices, user contracts, or binding acknowledgments that refer back to this document either explicitly or implicitly.


You acknowledge and agree that:

  • These Terms form a legally enforceable contract between you and Chariot Technologies LLC, governing your access to and use of all Services;


  • By using Chariot Services, you agree to be bound by all provisions within these Terms, regardless of whether you have reviewed each individual section;


  • The Terms may be amended, expanded, or clarified over time at Chariot’s sole discretion, with updated versions taking precedence over prior iterations once published (see Section 1.3);


  • All supplemental policies and disclosures referenced within the Terms are considered integral components of the Terms themselves and carry equal legal force;


  • In the event of a conflict between this document and any in-app notice, promotional summary, or FAQ, the provisions in the most recent version of the Terms shall prevail.


These Terms apply to all Users, regardless of geographic location, device, subscription level, or access method, and shall remain in effect for the duration of your relationship with Chariot.
