1. Introduction & Acceptance of Terms
By accessing or using Chariot’s services, you agree to be bound by these Terms of Service, our Privacy Policy, and any future amendments we publish. Continued use constitutes your acceptance of changes, so please review periodically.
2. Definitions
This section defines key terms—such as “Services,” “User Content,” “Tokens,” and “Report Purchases”—to ensure consistent interpretation throughout these Terms. Understanding these definitions will help you know your rights and obligations under this agreement.
3. Changes to the Agreement
We may update these Terms at any time to reflect new features, legal requirements, or business practices, and we will notify you of material changes via email or in-app notice. It is your responsibility to review the updated Terms; continued use after the effective date constitutes acceptance.
4. Governing Law & Jurisdiction
These Terms and any disputes arising from them are governed by the laws of the State of Delaware without regard to conflict-of-law principles. You agree that any action seeking enforcement shall be brought exclusively in the state or federal courts located in Delaware, or under the specified arbitration procedures.
5. Arbitration, Class Action Waiver & Dispute
All disputes will be resolved through binding individual arbitration under the American Arbitration Association’s rules, and you waive the right to participate in any class or collective action. Certain claims, such as injunctive relief or small-claims court actions, are exempt from arbitration.
6. Limitation of Liability & Warranty Disclaimer
To the fullest extent permitted by law, Chariot’s total liability for any claim shall not exceed the amount you paid in the preceding six months, and we disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose. AI outputs and third-party data are provided “as is,” without guarantees of accuracy or reliability.
7. Indemnification by User
You agree to defend, indemnify, and hold Chariot and its affiliates harmless against any losses or liabilities arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights. This obligation survives termination of your account.
8. Severability & Entire Agreement
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid term will be replaced by a valid provision that most closely matches its intent. These Terms, together with any referenced policies, constitute the entire agreement between you and Chariot.
9. Eligibility & Age Requirements
You must be at least 13 years old (or older if required by local laws) and have the legal capacity to enter into contracts to use Chariot. Accounts created by or for minors without parental consent will be terminated immediately.
10. Account Registration & Security
To use certain features, you must register for an account, provide accurate information, and safeguard your credentials. You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.
11. User Conduct & Prohibited Activities
You agree not to engage in abusive, fraudulent, or illegal behavior, including scraping our APIs, reverse-engineering our software, or uploading harmful content. Violations may result in suspension or termination without refund.
12. Account Termination & Suspension
Chariot may suspend or terminate your access at its discretion for violations of these Terms or inactivity, with or without notice. Upon termination, your right to use the Services ceases immediately, though certain provisions—like indemnification and liability limits—survive.
13. AI Outputs & Model Risk Disclosures
Our AI models may produce incorrect, biased, or incomplete information (“hallucinations”), and you should not rely on them for legal, medical, financial, or other critical decisions. We disclaim any liability for reliance on AI-generated content.
14. Prompt Use, Logging, and Abuse Control
We collect, store, and analyze your prompts, inputs, and usage patterns to improve the Service and detect abuse. You consent to such logging and agree not to submit content that violates our policies.
15. Chat Session Rules & Session Limits
Chat sessions are subject to maximum thread length and token caps per message and per session. Unused tokens do not roll over, and sessions may be truncated or reset if limits are exceeded.
16. AI Model Upgrades & Behavioral Drift
We may upgrade or swap AI models at any time, which can change how features perform or outputs are generated; you acknowledge and accept that such changes are part of the Service evolution.
17. Chariot Upload Terms
Image uploads are processed for AI analysis, but results depend on image quality and may be incorrect or incomplete; we are not liable for misinterpretations. You retain ownership of your images, but grant Chariot a license to use them to provide and improve the Service.
18. PDF/Contract Analysis Limitations
Document parsing uses AI and OCR technologies that may misread text, formatting, or embedded data. You should verify critical information independently, as we do not guarantee error-free analysis.
19. File Storage, Access, and Expiry
Your uploaded files are stored for a defined period (e.g., 90 days) unless you request earlier deletion. We reserve the right to purge old files, and you can export your data before expiry.
20. Image/Document Abuse Detection
Automated systems scan uploads for malware, copyright violations, or prohibited content, and we may block or remove files that trigger abuse rules without notice.
21. Subscription Plan Terms
Subscription plans (weekly, monthly, annual) grant specific token and feature quotas, auto-renew unless canceled, and may include trial periods with defined terms. Price changes will be communicated in advance.
22. Token Usage Policy
Tokens are the unit of measure for AI usage; each API call or chat message consumes tokens based on length and model cost. Overage charges or usage caps apply when you exceed your plan limits.
23. One-Time Report Purchases
One-time purchases unlock standalone vehicle reports (priced $14.99–$49.99) and are non-refundable; they do not expire but are not included in subscription entitlements.
24. Refunds, Chargebacks, and Dispute Policy
All purchases are final unless required by law; disputes over charges must be raised within 30 days. Unauthorized chargebacks may lead to account suspension.
25. Feature Gating by Plan
Features are unlocked according to your active plan or purchase history; upgrading grants immediate access while downgrading may revoke certain capabilities at the next billing cycle.
26. Privacy Policy
Our Privacy Policy details how we collect, use, share, and protect your personal data, including cookies, analytics, and third-party disclosures.
27. Data Deletion, Export, and Residency
You can request deletion or export of your personal and uploaded data at any time. Data residency options (e.g., EU vs. US storage) may be available upon request.
28. Security and Breach Notification
We implement industry-standard security measures (encryption, access controls) and will notify you within 72 hours of any confirmed data breach affecting your personal information.
29. Biometric and PII Handling
Sensitive personal data—such as biometric identifiers—are processed only with your explicit consent and subject to additional protections and deletion rights.
30. Prompt, Chat, and Upload Archival Policy
Prompts, chat logs, and uploads are archived for improvement and compliance purposes for a limited retention period, after which they are securely deleted.
31. SDK and Third-Party Integration Disclaimer
Use of our SDKs or integrations with third-party platforms is at your own risk; we are not responsible for the performance or security of external services.
32. API Use, Rate Limits & Keys
API access requires valid API keys, adherence to rate limits, and prohibition on sharing, selling, or embedding keys in public repositories.
33. AI Output Variance Between Models
Different AI models may produce varying results on identical inputs; this variance is expected and not grounds for refund or claim.
34. App Downtime, Bugs, and Force Majeure
We aim for high availability but do not guarantee uptime; we are not liable for outages caused by maintenance, bugs, or events beyond our control (force majeure).
35. User Feedback and Feature Suggestions
Feedback and suggestions you submit may be used by Chariot without obligation to you, and we reserve the right to implement or ignore any ideas at our discretion.
36. International Use & Compliance
If you access our Services from outside the U.S., you are responsible for compliance with local laws, export controls, and tax obligations.
37. Region-Specific Rights (GDPR, CCPA, AI Act)
Users in the EU, California, or other jurisdictions enjoy specific rights—such as data access, portability, and deletion—that supplement these Terms.
38. Enterprise Use, Licensing, and Liability
Commercial, fleet, or government users may enter into separate licensing agreements with additional fees, support terms, and liability caps.
39. Acquisition, Asset Transfer, and Corporate Changes
In the event Chariot is acquired or undergoes a material corporate transaction, your account and data may be transferred under the same Terms.
40. Contact, DMCA, Legal Notices
Provides our contact information for legal inquiries, notice procedures for DMCA takedowns, and how to serve legal process.
Changes to this Terms of Service
We reserve the right to update or change this Terms of Service at any time. Any changes will be posted on this page, and the effective date will be updated accordingly. We encourage you to review this Privacy Policy periodically for any updates.
