7.1 User Responsibility for Use
You agree that your use of the Chariot Services shall at all times comply with:
All applicable local, state, national, and international laws and regulations,
These Terms of Service, including all incorporated policies, disclaimers, and usage restrictions, and
Any community guidelines, onboarding instructions, or feature-specific rules communicated through the platform.
You acknowledge and accept that:
You are solely and fully responsible for all activity conducted through your account, whether by you or anyone acting on your behalf or using your access credentials;
Any misuse, manipulation, abuse, or unauthorized use of Chariot’s Services, AI outputs, data, reports, or uploads—including attempts to deceive, probe, reverse-engineer, or exploit the system—is strictly prohibited and will be considered a violation of this Agreement;
You must review and understand the limitations of AI-generated outputs and agree not to use such outputs as a substitute for qualified professional advice, or in high-stakes, safety-critical, or legally binding situations;
You assume full legal, financial, and operational responsibility for any consequences resulting from your use of the Services, including downstream actions, decisions, purchases, or disclosures made in reliance on AI-generated content.
Chariot disclaims all liability arising from your misuse or misunderstanding of the platform. You are expected to act in good faith, with reasonable care, and within the intended use case boundaries.
Violation of this section may result in account suspension, legal action, or permanent removal from the platform without refund.
7.2 Indemnification Obligation
You agree to defend, indemnify, and hold harmless Chariot Technologies LLC (“Chariot”), including its affiliates, parent companies, subsidiaries, successors, assigns, officers, directors, employees, contractors, licensors, service providers, partners, vendors, and agents, from and against any and all actual or alleged:
Claims, demands, actions, or proceedings,
Losses, liabilities, damages (actual or consequential),
Fines, penalties, settlements, or judgments,
Costs, expenses, and attorneys’ fees,
arising out of or in connection with:
(a) Your use or misuse of the Services, including but not limited to AI outputs, reports, chat threads, uploads, and any other platform feature;
(b) Your violation of these Terms, Privacy Policy, any posted policy, or any law, regulation, or rule, whether local, state, federal, or international;
(c) Any content you upload, transmit, or submit to Chariot, including images, photos, documents, VIN numbers, personally identifiable information (PII), or metadata;
(d) Your infringement, misappropriation, or violation of any third party’s rights, including intellectual property, contractual rights, publicity, or privacy laws;
(e) Any AI-generated content that you export, publish, act upon, share, or use in a commercial or legal capacity, especially if the content results in harm, loss, or liability to another party.
This indemnity obligation applies regardless of intent or negligence, and survives the termination or suspension of your account or access to the Services.
Chariot reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to fully cooperate with Chariot in asserting any available defenses. You may not settle any claim without Chariot’s prior written consent.
7.3 Defense and Cooperation
You agree to cooperate fully and promptly with Chariot in the investigation, preparation, and defense of any claim, dispute, action, or proceeding that is subject to your indemnification obligations under Section 7.2.
This includes, but is not limited to:
Providing all relevant documents, communications, records, and supporting evidence;
Participating in good faith in interviews, depositions, discovery, or court proceedings;
Making yourself reasonably available to consult with legal counsel retained by Chariot;
Avoiding any public statements or actions that could prejudice Chariot’s legal position.
Chariot reserves the right—but not the obligation—at its sole discretion and at its own expense, to:
Assume exclusive control of the defense, negotiation, and/or settlement of any matter for which you are required to indemnify Chariot;
Appoint legal counsel of its choosing;
Direct the litigation or resolution strategy in its best interest.
You may not settle or compromise any claim subject to indemnification without Chariot’s prior written consent, which may be withheld if the proposed settlement:
Imposes any obligation on Chariot,
Admits fault on Chariot’s behalf,
Restricts Chariot’s rights or remedies, or
Fails to provide a full and unconditional release of Chariot from all liability.
This cooperation requirement shall survive termination of your use of the Services.
7.4 Third-Party Disputes

You agree to indemnify, defend, and hold harmless Chariot Technologies LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, or expenses (including attorneys’ fees and court costs) brought by third parties that arise out of or relate to your use, misuse, or redistribution of Chariot’s Services or AI-generated content.
This includes—but is not limited to—claims stemming from your:
Sharing or forwarding of AI-generated responses, reports, or summaries via social media, forums, email, or other platforms;
Reposting Chariot’s vehicle reports, chat conversations, or analysis on public or private channels;
Monetization of any AI output (e.g., reselling reports, offering derivative services based on Chariot insights);
Use of AI-generated content in making representations, decisions, or actions affecting others (e.g., vehicle sales, insurance claims, legal disputes, mechanical repair guidance);
Failure to disclose that AI content was generated by a machine-learning model and not a licensed expert.
You are solely responsible for how you apply or disseminate Chariot content and for ensuring such use does not mislead, defraud, harm, or otherwise result in liability to any third party.
This clause survives any termination of your use of the Services and applies regardless of your subscription level, payment tier, or access method.
7.5 Government Use and Misuse

If you access or use Chariot’s Services on behalf of, or in connection with, any governmental agency, municipality, fleet operator, investigative body, regulatory agency, or law enforcement entity, you expressly agree to:
Assume all responsibility and liability for such use, including compliance with all applicable laws, administrative regulations, data privacy statutes, and procurement standards; and
Indemnify, defend, and hold harmless Chariot Technologies LLC, its affiliates, employees, contractors, officers, and directors from and against any and all claims, actions, investigations, audits, fines, penalties, damages, or losses (including reasonable attorneys’ fees and expenses) that arise out of or relate to:
(a) Unauthorized, unlawful, or extra-jurisdictional use of Chariot's Services by any public sector user;
(b) Misuse of AI-generated outputs in law enforcement, surveillance, regulatory, or investigatory contexts;
(c) Failure to disclose AI-generated content in formal or official documentation or reports;
(d) Violations of applicable freedom of information laws, procurement ethics, transparency mandates, or use restrictions on government data systems;
(e) Any claim that Chariot was used to profile, discriminate, or unfairly target individuals or organizations;
(f) Any public backlash, political, or reputational harm resulting from controversial or unintended governmental applications of Chariot-generated information.
Chariot does not warrant or certify that its Services are compliant with federal, state, or international procurement standards (e.g., FAR, DFARS) or that they are suitable for regulated government workflows, criminal investigations, or compliance certifications unless explicitly contracted.
This indemnity obligation applies regardless of whether the user is acting in an official capacity or accessing the Services through a government-issued device or account, and survives termination of the account or contract.

You expressly agree not to misrepresent, modify, translate, repackage, or republish any AI-generated output, report, or insight from the Chariot platform in a manner that:
Implies factual certainty,
Guarantees a vehicle’s mechanical or legal status,
Misleads others regarding pricing, defects, ownership history, VIN accuracy, or safety condition, or
Attributes professional certification, legal compliance, or regulatory endorsement to Chariot’s AI outputs.
If you resell, redistribute, post online, embed in advertisements, or include in contracts or business communications any portion of Chariot’s generated content in a manner that creates false expectations, consumer confusion, or material harm, you agree to fully indemnify Chariot Technologies LLC, including its officers, directors, contractors, and affiliates, from and against any resulting damages, including:
(a) Consumer fraud or deception claims;
(b) Automotive dealership disputes, warranty denials, or insurance misapplications;
(c) Regulatory or FTC actions based on misleading AI output usage;
(d) Injury, financial loss, or litigation stemming from reliance on inaccurately presented content;
(e) Any claim that Chariot failed to flag or prevent misrepresentation where you were the distributing party.
All Chariot outputs are informational, probabilistic, and non-binding. They are not to be resold or presented as verified data unless explicitly licensed under a written agreement with Chariot.
This clause survives termination and applies to all forms of misuse, including by agents, employees, affiliates, or customers under your direction.

You are solely and fully responsible for all activity that occurs under your Chariot account, regardless of whether the activity was authorized by you or conducted without your knowledge. This includes, but is not limited to:
Misuse of AI chat, vision, document upload, or report features
Violations of these Terms
Uploads of restricted or abusive content
Use of your account credentials by third parties, including employees, contractors, family members, or unauthorized individuals
If your credentials are lost, stolen, or compromised, it is your responsibility to:
Immediately notify Chariot at security@chariotreport.com
Update your password or revoke access tokens through available security settings
Cooperate with Chariot’s internal investigation into unauthorized activity
You agree to defend, indemnify, and hold harmless Chariot Technologies LLC for any resulting harm, including:
Civil or regulatory claims
Data abuse or privacy violations
Excessive API usage fees
Distribution of hallucinated or incorrect AI output
Loss of business, downtime, or service disruption caused by such unauthorized access
IMPORTANT: Sharing your login with others, including for resale, analysis on behalf of third parties, or collaborative report creation, is a violation of these Terms and subject to immediate suspension or termination of your account.
This clause applies regardless of intent and survives the termination of your relationship with Chariot.
7.8 Token Abuse or API Manipulation

You agree to fully indemnify, defend, and hold harmless Chariot Technologies LLC from and against any damages, costs, or liabilities resulting from:
Token overuse beyond permitted plan limits
Exploitation of APIs through reverse-engineering, automation scripts, unauthorized scraping, or excessive call frequency
Prompt injection or attempts to bypass usage gating, safety filters, or ethical constraints embedded within AI models
Artificial load generation, such as high-volume, low-value interactions intended to stress or test system limits
Usage of Chariot Services in conjunction with bots, proxies, or unauthorized SDK integrations
Tampering with token counters, user-agent identifiers, or platform APIs in ways that distort or manipulate pricing models or infrastructure behavior
If such misuse is detected, you acknowledge and agree that:
You are financially responsible for all downstream impacts including API costs from OpenAI, Supabase, RevenueCat, cloud compute infrastructure, and legal costs from triggered audits or terms breaches
Chariot reserves the right to suspend or permanently ban your account, retroactively bill overage usage, or report activity to relevant third-party service providers
This indemnity survives termination of your access to the Services
NOTICE: Automated usage or system manipulation that results in elevated token draw or infrastructure load may trigger rate-limiting, full account shutdown, and legal action for breach of contract and fraud.
7.9 International Use Risk
If you access or use the Services from outside the United States, you do so at your own initiative and risk, and you are solely responsible for ensuring compliance with all local, regional, and international laws that may apply, including but not limited to:
Export control regulations (e.g., U.S. Export Administration Regulations)
Sanctions and embargo laws issued by the U.S. Department of Treasury, OFAC, or your local government
Cross-border data transfer restrictions
Data residency or localization mandates
Consumer protection laws specific to your region
AI regulation frameworks, including but not limited to the EU Artificial Intelligence Act
You agree to indemnify, defend, and hold harmless Chariot Technologies LLC from and against any claims, penalties, liabilities, damages, regulatory investigations, or compliance costs arising from:
Your failure to adhere to applicable foreign regulations
Your transmission, storage, or sharing of personal data in violation of local or international data sovereignty laws
Any litigation, fines, or enforcement actions imposed by foreign governments or jurisdictions
IMPORTANT: Accessing or using Chariot from outside the U.S. does not exempt you from your responsibilities under U.S. law or these Terms. You assume full legal risk for all cross-border activities and agree that any disputes remain governed by Delaware law and U.S. jurisdiction, as specified in Section 4.

This Indemnification Section (Section 7) shall survive:
The termination of your Chariot account
The expiration or cancellation of any subscription, one-time purchase, or agreement
The completion, dismissal, or settlement of any dispute, arbitration, or litigation involving Chariot
Your cessation of use of the Services, whether voluntary or involuntary
You expressly acknowledge that your indemnification obligations remain in effect indefinitely, to the extent permitted by law, even after your relationship with Chariot has ended. This survival ensures that Chariot may enforce these protections for any claims, damages, liabilities, or disputes that arise from your past conduct or usage of the platform, even years after such conduct occurred.
