6.1 No Warranty on AI Accuracy

Chariot provides Services that utilize artificial intelligence, machine learning, and third-party model APIs (collectively, “AI Systems”) to generate outputs, responses, analyses, and reports. These outputs are inherently probabilistic and may vary over time, between model versions, or based on subtle changes in user inputs.

No Guarantee of Accuracy or Completeness

Chariot expressly disclaims any and all warranties—express or implied—regarding the:

  • Accuracy, reliability, or correctness of AI-generated outputs;


  • Completeness or consistency of risk summaries, photo evaluations, contract parsing, or VIN lookups;


  • Timeliness or applicability of insights, comparisons, or pricing estimates.


AI-generated content may contain:

  • Incorrect, outdated, or incomplete data;


  • Hallucinations, including confidently stated falsehoods;


  • Misinterpretation of uploaded content, especially under poor image or document quality.


Informational Use Only

All outputs provided by Chariot’s AI systems are:

  • For informational and general guidance purposes only;


  • Not intended as legal, financial, safety, or purchasing advice;


  • Not a substitute for professional inspection, legal consultation, or expert analysis.


User Reliance and Responsibility

You understand and agree that:

  • You use the AI outputs at your own discretion and risk;


  • You are solely responsible for evaluating the suitability, accuracy, and consequences of relying on any AI-generated response or report;


  • Chariot shall not be liable for any decisions, losses, or damages—direct or indirect—arising from your reliance on AI outputs.


No Continuous Model Guarantees

Due to the evolving nature of AI systems, Chariot cannot and does not guarantee that outputs provided today will remain reproducible or consistent in future queries, versions, or sessions.



6.2 No Professional or Legal Advice

Chariot is a technology platform that delivers AI-generated content, analyses, reports, and recommendations. None of the outputs, content, or Services provided by Chariot constitute professional advice of any kind. By using the Services, you expressly acknowledge and agree to the following:

No Legal, Financial, Safety, or Insurance Advice

Unless explicitly stated otherwise in writing by a licensed representative, Chariot is not a licensed provider of:

  • Legal advice, including contract review, liability warnings, or regulatory interpretations;


  • Automotive or mechanical diagnostics;


  • Vehicle safety assessments or repair endorsements;


  • Insurance underwriting or claim guidance;


  • Financial valuation, investment advice, or credit-related services.


For Informational Use Only

Any report, insight, risk flag, or recommendation generated through Chariot is:

  • For general informational and reference purposes only;


  • Not a substitute for independent legal, mechanical, or professional consultation;


  • Not to be relied upon as the sole basis for purchasing, selling, financing, insuring, or repairing any vehicle or contract.


No Client Relationship

Use of the Services does not create a fiduciary, attorney-client, mechanic-customer, financial advisor-client, or any other professional relationship between you and Chariot or its team.

Independent Verification Required

You are solely responsible for:

  • Consulting with appropriate professionals where necessary;


  • Performing independent inspections, research, or due diligence;


  • Verifying the accuracy, relevance, and consequences of any decision based on Chariot’s output.


Chariot disclaims all liability for any action, inaction, or outcome based on reliance on AI outputs presented as suggestions, summaries, or inferred recommendations.



6.3 Services Provided “As Is” and “As Available”

The Services offered by Chariot—including, but not limited to, its mobile applications, web platform, AI-generated reports, chat systems, document parsing, and image analysis—are provided to users strictly on an “AS IS” and “AS AVAILABLE” basis.

No Express or Implied Warranties

To the fullest extent permitted by law, Chariot expressly disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability;


  • Fitness for a particular purpose;


  • Non-infringement of intellectual property;


  • Accuracy, completeness, or usefulness of any output or insight;


  • Availability, uptime, or continued operation of any Service or feature.


No Guarantee of Service Continuity

Chariot does not guarantee that:

  • The Services will be uninterrupted, timely, secure, or error-free;


  • Any bugs, limitations, or model hallucinations will be corrected;


  • The Services will function as intended on all devices, platforms, or operating systems;


  • Stored reports, chat threads, or uploaded content will remain persistently accessible, retrievable, or undeleted beyond defined retention periods.


User Assumption of Risk

By accessing or using the Services, you acknowledge and agree that:

  • You do so at your sole risk;


  • No oral or written information or advice provided by Chariot or its representatives shall create any warranty not expressly stated in these Terms;


  • Temporary outages, model downgrades, latency, or rate limits may occur without notice.


Platform Dependency and Third-Party Uptime

Because Chariot relies on third-party services (e.g., OpenAI, Supabase, RevenueCat, Google Cloud), its performance and reliability may be impacted by outages, API changes, or usage limitations beyond Chariot’s control. Chariot assumes no liability for such events.




6.4 System Availability and Interruptions

Chariot provides access to its Services—including AI chat, vehicle reports, image processing, and document analysis—through cloud-based infrastructure and third-party platforms. Chariot makes no representations or guarantees regarding the continuous availability or reliability of the Services.

No Guarantee of Uptime or Performance

You acknowledge and agree that:

  • The Services may be temporarily or permanently interrupted without notice;


  • There is no assurance of 100% uptime, latency-free usage, or model responsiveness;


  • Interruptions may affect specific features (e.g., vision upload, report generation, chat sessions) or the entire platform.


Causes of Service Interruptions

Chariot shall not be held liable for any delay, disruption, suspension, or degradation in service arising from:

  • Server issues, database downtime, or resource limits;


  • Cloud infrastructure outages, including those of third-party providers like Supabase, OpenAI, Railway, or Google;


  • Model degradation, throttling, or API outages, particularly from upstream AI model providers;


  • Internet connectivity issues between the user and Chariot servers;


  • Scheduled maintenance, emergency patches, or unplanned system reboots;


  • Cyberattacks, abuse, or unauthorized access attempts that require containment measures;


  • Natural disasters, regulatory action, or force majeure events.


User Responsibility During Downtime

Chariot is not responsible for:

  • Loss of access to previously stored data, reports, or chats;


  • Failure to meet user expectations during downtime or throttling periods;


  • Interruptions that prevent subscription feature access or report delivery.


Chariot reserves the right to suspend, throttle, or limit Services at any time to protect infrastructure integrity, enforce usage limits, comply with legal obligations, or respond to abuse or anomalous behavior.



6.5 Behavior of AI & Third-Party Models

Chariot leverages advanced artificial intelligence and machine learning models—primarily provided by third parties such as OpenAI—to power various features, including chat sessions, vehicle photo analysis, document parsing, and VIN decoding. These models are non-deterministic, probabilistic, and subject to autonomous modification beyond Chariot’s control.

No Control Over Model Internals

Chariot does not create, own, or maintain the core AI models it integrates. As such:

  • Model weights, behavior, and logic may change without advance notice;


  • Responses to the same prompt or input may vary over time, across devices, or between user sessions;


  • Different versions or modes (e.g., gpt-4, gpt-4o-mini, fine-tuned vs. base) may yield inconsistent, unexpected, or contradictory outputs.


No Warranty of AI Behavior

You understand and agree that:

  • AI behavior is not static or guaranteed;


  • Results may reflect bias, hallucination, outdated data, or unsound conclusions;


  • No output—regardless of specificity, length, tone, or confidence—should be construed as infallible, authoritative, or final.


Third-Party AI Changes

Because Chariot integrates with APIs and platforms maintained by third-party vendors (e.g., OpenAI), the quality, scope, availability, or cost of AI features may change at any time due to:

  • Model deprecations or upgrades;


  • Rate limit adjustments;


  • Terms of use changes by the AI provider;


  • System errors, throttling, or outages upstream from Chariot.


Chariot assumes no responsibility or liability for model behavior, output inconsistency, or degradation that results from changes made by third-party AI providers.

Use at Your Own Risk

AI features are offered on a best-effort basis and should be used with caution, skepticism, and human judgment. Users are solely responsible for interpreting, validating, and acting on AI-generated outputs.



6.6 Risk of Uploads and User Inputs

Users are solely responsible for the content, quality, and legality of any files, images, text, or other data they upload or submit to Chariot’s platform, including but not limited to photographs of vehicles, scanned contracts, VIN numbers, chat messages, and other prompts.

No Responsibility for Input Quality or Interpretation

Chariot makes no warranties or guarantees regarding the accuracy, utility, or outcome of any AI-generated analysis or report based on:

  • Poor-quality images (e.g., blurry, dark, occluded, compressed, or low-resolution files);


  • Incorrect, incomplete, or ambiguous user input, including prompts, VINs, or chat messages;


  • Unsupported formats (e.g., corrupted files, non-standard PDFs, exotic image encodings);


  • Irrelevant, offensive, or malformed content intentionally or unintentionally submitted;


  • Multiple objects, non-vehicle items, or unrecognizable subjects in uploaded media.


AI-generated outputs are only as reliable as the inputs provided, and you accept the risk of inaccuracy, error, or unusable feedback where inputs are flawed or insufficient.

Legal and Content Responsibility

You represent and warrant that:

  • You own or have legal rights to the content you upload;


  • The materials are not infringing, defamatory, or illegal under applicable law;


  • You have obtained any necessary consents (e.g., for license plate photos, documents containing third-party PII).


Chariot disclaims all liability for any content submitted by users and reserves the right to delete, reject, restrict, or report uploads that violate its policies or legal obligations.

No Guaranteed Outcome

Chariot is not liable for:

  • Misinterpretation of contracts, documents, or photos;


  • Missed risk flags, false negatives, or hallucinated content caused by unclear or unsupported inputs;


  • User decisions based on AI outputs resulting from low-quality, irrelevant, or improper uploads.


All usage of upload-based features is at the user’s sole discretion and risk.




6.7 Limitation of Liability for Third Parties

Chariot’s Services are built upon and depend on numerous third-party technologies, infrastructure providers, and AI systems—including, but not limited to, OpenAI, Supabase, RevenueCat, cloud hosting platforms (e.g., Railway, AWS, Vercel), and mobile ecosystem providers such as Apple and Google.

No Liability for Third-Party Systems

Chariot expressly disclaims all liability for any failure, error, omission, breach, degradation, or service disruption resulting from:

  • API outages, rate limits, or throttling by OpenAI or other AI providers;


  • Authentication, database, or storage issues stemming from Supabase;


  • Subscription tracking failures or billing misfires by RevenueCat;


  • Infrastructure outages, hosting downtime, or loss of data via third-party cloud services;


  • App store errors, in-app purchase failures, or platform-specific policy enforcement (Apple, Google, etc.);


  • Browser or mobile OS compatibility issues, SDK malfunctions, or system-level bugs.


These third parties operate independently and are governed by their own terms, SLAs, pricing models, and data handling practices. Chariot has no ability to modify or control their services.

Reliance on External Services

You acknowledge that:

  • Access to Chariot’s core features (AI chat, VIN decoding, document analysis, billing, account management, etc.) may be delayed, interrupted, or degraded by issues upstream;


  • These services may change terms or cease operation without notice to Chariot or its users;


  • Chariot may be forced to suspend or modify its own Services in response to changes in third-party APIs or legal obligations.


Chariot assumes no responsibility for damages, direct or indirect, resulting from failures or misbehavior of any third-party component.

Vendor Transitions

In the event Chariot transitions from one third-party vendor to another:

  • There may be temporary service instability or interruption;


  • Chariot will attempt to migrate data where feasible, but makes no guarantees of persistence or transfer fidelity;


  • Certain features or capabilities may become deprecated, altered, or require re-authentication by the user.


Chariot is not liable for any loss of access, subscription data, or stored content arising from such transitions.



6.8 Cap on Direct Damages

To the maximum extent permitted by applicable law, Chariot’s total, cumulative liability to any user for any claim, demand, damage, loss, cost, or cause of action—whether in contract, tort, statute, strict liability, or otherwise—shall not exceed the greater of:

  • (a) The total amount paid by the user to Chariot for access to the Services in the twelve (12) months immediately preceding the event giving rise to the liability; or


  • (b) Fifty U.S. dollars (USD $50.00).


Single Cap Across All Claims

This limitation is a collective cap applying to:

  • All causes of action related to the same user, account, session, or incident;


  • All categories of damages, including actual, compensatory, contractual, or statutory;


  • All Services offered by Chariot, including but not limited to reports, chat responses, vision uploads, document parsing, and subscription features.


This clause applies regardless of whether:

  • The alleged harm arose from Chariot’s negligence or error;


  • Chariot had been advised of the possibility of damages;


  • Any remedy fails of its essential purpose.


No Aggregation

Under no circumstance shall damages accumulate across multiple Services, time periods, or incidents to exceed the above-stated maximum.



6.9 Disclaimer of Consequential Damages

To the maximum extent permitted by applicable law, under no circumstances shall Chariot, its affiliates, officers, directors, employees, contractors, licensors, or service providers be liable for any form of indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, anticipated revenue, or savings;


  • Loss or corruption of data or files;


  • Business interruption or diminished operations;


  • Reputational damage or loss of goodwill;


  • Emotional distress, psychological harm, or anxiety;


  • Claims arising from AI errors, hallucinations, omissions, or misinterpretations in reports, chats, image analysis, or document reviews.


This limitation applies regardless of legal theory, including claims in contract, tort (including negligence), strict liability, statutory liability, or any other cause of action, and applies even if Chariot was advised of or should have foreseen the possibility of such damages.

Jurisdictional Carve-Out:
In jurisdictions where exclusions of consequential or incidental damages are not fully enforceable, this clause shall apply to the fullest extent allowed by local law.

Use of the Services involves known and unknown risks, and you assume full responsibility for the consequences of any reliance on AI-generated outputs.




6.10 User Assumes All Risk

By accessing or using the Chariot platform, you expressly acknowledge and agree that you assume full responsibility and risk for all consequences resulting from your use of the Services, including any reliance on AI-generated content, analysis, or recommendations.

You understand and accept that:

  • AI models used by Chariot may produce hallucinated, inaccurate, incomplete, misleading, or outdated content;


  • Outputs may vary significantly across sessions, devices, user phrasing, or underlying model versions;


  • AI behavior is probabilistic and non-deterministic, meaning identical prompts may produce divergent results;


  • Uploaded content such as images or documents may be misinterpreted, ignored, or inaccurately assessed due to quality, angle, format, or clarity;


  • Chariot continuously integrates third-party AI systems (e.g., OpenAI), which may evolve, fail, or behave unpredictably without prior notice;


  • Any automated summaries, labels, valuations, flags, or suggestions are informational only and not a substitute for human judgment, legal counsel, mechanical inspection, or professional advice.


YOU AGREE THAT ALL DECISIONS BASED ON CHARIOT’S OUTPUTS ARE MADE AT YOUR OWN RISK.
CHARIOT SHALL NOT BE HELD RESPONSIBLE FOR ANY ACTION OR INACTION TAKEN BASED ON INFORMATION PROVIDED BY THE PLATFORM.

This assumption of risk is a fundamental condition of your access and continued use of Chariot’s Services.




6.11 Jurisdictional Limitations

If any provision or portion of this Section 6 (Limitation of Liability & Warranty Disclaimer) is held to be unenforceable, invalid, or contrary to applicable law in a given jurisdiction, then:

  • Chariot’s liability shall be limited to the minimum extent permitted under such law;


  • The remaining provisions shall remain valid, binding, and fully enforceable;


  • This limitation shall still apply regardless of the form of action, including but not limited to contract, tort (including negligence), strict liability, statutory claims, or any other legal theory;


  • Users in such jurisdictions acknowledge that they may have specific rights under consumer protection laws, which cannot be waived or altered, but those rights shall be interpreted narrowly and strictly construed in the context of these Terms.


This clause ensures that no broader liability is implied than what is explicitly required by local law. The intent of this Section is to maximize legal protections for Chariot to the fullest extent legally permissible in all regions of operation.



6.12 Survival of Disclaimer

The entirety of Section 6 – Limitation of Liability & Warranty Disclaimer shall survive the termination, cancellation, suspension, deactivation, or expiration of your account, subscription, or access to the Services, regardless of the cause or manner of termination.

This includes, but is not limited to:

  • All limitations of liability,


  • Warranty disclaimers,


  • Risk acknowledgments,


  • Exclusions of consequential or indirect damages,


  • Third-party service disclaimers, and


  • Any jurisdictional carve-outs or modifications.


These provisions are fundamental and material terms of this agreement and are intended to apply indefinitely, even if you cease using the Chariot platform or delete your account.

By continuing to use the Services, you expressly agree that these protections for Chariot shall remain enforceable in perpetuity unless otherwise prohibited by mandatory local law.
