9.1 Legal Capacity to Contract

By accessing or using the Services, you affirm and represent that you have the full legal capacity and authority to enter into and be bound by this Agreement under the laws of your jurisdiction.

If you are using Chariot on behalf of a company, organization, governmental body, or other legal entity:

  • You represent and warrant that you have been duly authorized to bind such entity to these Terms,


  • And that all actions necessary to authorize acceptance of these Terms on behalf of that entity have been taken.


If you do not have the authority to enter into these Terms as an individual or on behalf of another party, or if you lack legal capacity (e.g., due to age, guardianship, or other restrictions), you may not use or access the Services.

Use of the Services in violation of this clause shall constitute unauthorized access and may result in immediate termination of your account, forfeiture of access, and potential legal liability.



9.2 Minimum Age Requirement

You must be at least eighteen (18) years old to register for, access, or use the Chariot Services. By using the Services, you represent and warrant that you meet this minimum age requirement.

  • Underage Use Prohibited: If you are under 18, you are not permitted to access or use Chariot in any form, including but not limited to submitting prompts, uploading images or documents, viewing reports, or engaging with AI chat functions.


  • No Exceptions: Chariot does not knowingly collect personal data from individuals under 18. Any accounts believed to be created or used by individuals under 18 will be terminated without notice, and associated data may be deleted.


  • Parental Consent Not Sufficient: Even with parental or guardian consent, individuals under 18 are not authorized to use the Services due to the complexity, financial nature, and AI-generated outputs that may carry interpretive or legal implications.


Violation of this clause constitutes a material breach of these Terms and may subject the violator to legal consequences, including liability for any damages incurred by Chariot as a result.



9.3 No Use by Minors

9.3 No Use by Minors

Chariot is not intended for use by children under thirteen (13) years of age, or under the minimum legal age for consent to data collection and processing in your jurisdiction, whichever is higher. The Services are designed for mature users capable of understanding AI-assisted outputs and making responsible decisions based on those outputs.

  • Children’s Privacy: We do not knowingly collect, solicit, or store any personal data from individuals under the applicable minimum age. If we become aware that a child has submitted personal information through any means, we will promptly delete such data and may disable the associated account.


  • COPPA and Global Compliance: This clause is intended to comply with the U.S. Children’s Online Privacy Protection Act (COPPA) and equivalent global data protection laws (e.g., GDPR, PIPEDA, PDPA) governing the rights of minors.


  • Parental Responsibility: If you are a parent or legal guardian and believe your child has provided personal information to Chariot without your consent, please contact us immediately at legal@chariotreport.com.


Any violation of this policy may result in account suspension, data deletion, and legal reporting obligations under relevant child protection laws.



9.4 Age Misrepresentation

If Chariot discovers or has reasonable grounds to suspect that you have misrepresented your age or identity in order to access the Services—particularly to circumvent the minimum age requirement—we reserve the right to take immediate enforcement action, including but not limited to:

  • Account suspension or termination without notice;


  • Revocation of access to all reports, subscriptions, and features;


  • Deletion of any associated data or uploads;


  • Notification to relevant legal authorities, where applicable; and


  • Permanent ban from using the Services.


Such misrepresentation may also constitute a violation of applicable laws, and Chariot shall have no liability or obligation to preserve data or provide refunds under such circumstances. Users are solely responsible for ensuring that their identity, age, and registration details are accurate and truthful at all times.



9.5 Restricted Territories

Chariot may restrict, suspend, or deny access to the Services for individuals, entities, or devices located in, ordinarily resident in, or associated with jurisdictions subject to trade sanctions, export control laws, data residency mandates, or national security restrictions. These jurisdictions include, but are not limited to:

  • North Korea

  • Iran

  • Syria

  • Cuba

  • The Crimean region of Ukraine

  • Any other region identified by the U.S. Department of the Treasury (OFAC), U.S. Department of Commerce (BIS), European Union sanctions lists, or United Nations sanctions programs

By accessing the Services, you represent and warrant that you are not located in, under the control of, or a citizen or resident of any such restricted territory and that you are not a prohibited party under applicable export control or sanctions laws.

Users are solely responsible for ensuring that their access and use of Chariot complies with all applicable international trade, data localization, and national security laws. Violations of this section may result in immediate termination, revocation of access, legal reporting, and permanent data deletion without refund.




9.6 Prohibited Users

You may not access or use the Services if:

  • You are designated on any U.S. Government list of prohibited or restricted parties, including but not limited to the:


    • U.S. Department of the Treasury’s Specially Designated Nationals (SDN) List

    • U.S. Department of Commerce Denied Persons List, Entity List, or Unverified List


    • U.S. Department of State Debarred List

  • You are located in, a national of, or under the jurisdiction of a country or region that is subject to comprehensive U.S. trade embargoes or sanctions, including but not limited to:


    • North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, or Luhansk regions of Ukraine


  • You are using Chariot on behalf of a prohibited third party, including a business or government entity that is restricted under applicable laws.


By using the Services, you affirm that you are not subject to any such restrictions and that your access does not violate any applicable export, re-export, or sanctions regulations of the United States or the jurisdiction from which you access Chariot.

Chariot reserves the right to immediately suspend or terminate access for any user found or suspected to be in violation of this section, without notice or refund, and to report such violations to relevant authorities if legally required.



9.7 Enterprise Usage

If you are using Chariot on behalf of a business, organization, government agency, or other legal entity (“Enterprise”), the following conditions apply:

  1. Authorized Use Only
    You represent and warrant that you are authorized to act on behalf of the Enterprise and to bind such entity to these Terms. All actions taken under your account will be deemed authorized and attributable to the Enterprise.


  2. Commercial Licenses Required
    Use of Chariot for commercial, investigative, resale, internal tooling, or fleet analysis purposes may require a separate enterprise agreement, license, or written authorization from Chariot. Unless expressly permitted, such uses are prohibited under standard consumer plans.


  3. Usage Limits and API Access
    Enterprise users are subject to additional usage caps, rate limits, and audit protocols. Custom access (e.g., batch uploads, API endpoints, branded reports) may be governed under a negotiated service-level agreement (SLA).


  4. Confidentiality and Data Controls
    Chariot may require Enterprise users to implement appropriate data privacy, internal review, and access management procedures to safeguard sensitive data and prevent misuse of AI outputs.


  5. Indemnification Expansion
    The Enterprise agrees to indemnify and hold harmless Chariot for any claims, liabilities, or damages arising out of improper use by its employees, contractors, or agents, including breach of data compliance regulations or misrepresentation of AI-generated content.


  6. Audit and Oversight
    Chariot reserves the right to audit Enterprise accounts and access logs for compliance, especially in cases involving high usage volume, flagged prompts, or suspected abuse of AI capabilities.


  7. Termination for Unauthorized Commercial Use
    If Chariot determines that an Enterprise is using the Services without the appropriate license, it may suspend access, terminate the account, or pursue appropriate legal remedies. Subscription refunds will not be granted in such cases.


  8. Export and Regulatory Compliance
    Enterprises are solely responsible for ensuring that their use of Chariot complies with all applicable laws, including but not limited to ITAR, EAR, HIPAA, GDPR, CCPA, and local data governance frameworks.


By continuing to use Chariot in any Enterprise context, you agree to these additional conditions and acknowledge that violation may result in account suspension, legal liability, or permanent access restrictions.



9.8 User Location Responsibilities

If you access or use the Chariot Services from a location outside the United States:

  1. Local Compliance
    You are solely responsible for ensuring that your use of the Services complies with all local, national, and regional laws, rules, and regulations applicable in your jurisdiction. This includes, but is not limited to, data protection laws (e.g., GDPR, PIPEDA, LGPD), AI governance laws, consumer protection laws, and any age or identity verification requirements.


  2. AI Regulation and Interpretation Laws
    You agree that Chariot’s AI outputs may not be suitable for use in jurisdictions with strict liability frameworks or AI-specific regulations. If your jurisdiction imposes content accuracy requirements, transparency mandates, or AI auditability rules, you are responsible for ensuring compliance before using or relying on any output from the platform.


  3. Language and Localization Limits
    The Services are primarily delivered in English and may not include regional language support, localization, or culturally adapted disclaimers. Use in regions requiring translated legal disclosures or alternative consent mechanisms must be conducted at your own risk.


  4. Data Transfer Acknowledgment
    By using the Services, you consent to the transmission and processing of data in and out of the United States. You acknowledge that your data may be stored on servers located in jurisdictions that may not offer the same level of data protection as your country of residence.


  5. Access Restrictions and Blocking
    Chariot reserves the right to block or restrict access to the Services from specific countries or IP ranges at any time, including in response to compliance, sanctions, national security, or regional platform policies.


  6. No Immunity from Enforcement
    Your use of the Services from another country does not exempt you from compliance with these Terms or from liability for violations thereof. Chariot expressly disclaims any responsibility for unlawful access or use by individuals in countries where the Services are prohibited or regulated.


By accessing Chariot internationally, you accept these responsibilities and release Chariot from liability for any breach of local law resulting from your use.



9.9 Identity Verification

Chariot reserves the right, at its sole discretion and at any time, to request proof of your identity, age, or authority to act on behalf of a business entity in order to:

  1. Ensure Legal Compliance
    Confirm compliance with applicable laws and platform policies, including age requirements, export control laws, KYC obligations, and data residency restrictions.


  2. Prevent Fraud and Abuse
    Detect and prevent impersonation, identity theft, unauthorized access, or other forms of misuse of the Services, particularly where sensitive data or payment activity is involved.


  3. Authenticate Business Representation
    Where Services are used in a commercial, enterprise, or organizational context, Chariot may require documentation proving your authority to bind your organization, including business registration certificates, corporate email domains, or power-of-attorney instruments.


  4. Enforce Eligibility Rules
    If your use of the Services is subject to restrictions—such as geographic limitations, prohibited party lists, or age-related terms—Chariot may require documentation to confirm your compliance with these terms.


  5. Validate Payment-Linked Identity
    For users engaging in subscription purchases, in-app transactions, or dispute resolution, Chariot may request identity verification to ensure legitimacy and secure processing of financial records.


  6. Conditions of Continued Access
    Failure to provide requested documentation may result in suspension, limitation, or permanent termination of your account or access to the Services. Chariot shall not be liable for losses or access issues arising from your failure to comply.


  7. Privacy and Security Handling
    All identity documentation submitted will be processed in accordance with our [Privacy Policy] and applicable data protection laws. Verification data may be stored securely for a limited duration for audit, legal, and fraud-prevention purposes.


By using the Services, you acknowledge and agree that identity verification may be required and that your continued access is contingent upon compliance with such procedures.



9.10 Ineligible Accounts

Chariot reserves the right to suspend, restrict, or terminate any account deemed ineligible under these Terms or applicable law. An “Ineligible Account” includes, but is not limited to, accounts that:

  1. Violate Age or Legal Capacity Requirements
    Belong to individuals under the minimum required age (see Section 9.2 and 9.3), or to persons lacking legal capacity to enter binding contracts.


  2. Originate from Restricted or Sanctioned Territories
    Are created or accessed from jurisdictions listed in Section 9.5, or by individuals identified in Section 9.6 (e.g., those on government watchlists, denied parties lists, or sanctions registries).


  3. Use False or Fraudulent Information
    Were created using false, misleading, or incomplete identification details, including impersonation, forged business credentials, or the use of disposable emails or VPNs to bypass territorial restrictions.


  4. Circumvent Chariot Controls or Policies
    Attempt to bypass session limits, subscription gating, AI output caps, API throttles, or token usage policies by creating multiple accounts or exploiting technical vulnerabilities.


  5. Are Associated with Prohibited Conduct
    Are connected to activity deemed abusive, exploitative, or in violation of Section 11 (User Conduct), including harassment, unauthorized scraping, reverse engineering, or resale of AI outputs.


  6. Fail to Pass Required Verification
    Do not provide valid documentation or complete identity verification when requested under Section 9.9 or other relevant clauses.




Consequences:

  • Immediate Termination
    Chariot may immediately disable access to ineligible accounts without notice or refund.


  • Content Deletion
    Data, reports, uploads, and prompts associated with ineligible accounts may be deleted or made inaccessible.


  • Legal Reporting
    Ineligible accounts involving fraud, national security violations, or abuse may be reported to appropriate authorities or compliance partners.


By continuing to use Chariot, you affirm that your account is eligible and acknowledge that violation of this section may result in permanent removal without appeal or recourse.




9.11 Parental Supervision Not Permitted

9.11 Parental Supervision Not Permitted

Chariot does not permit access to the Services by individuals under the minimum age requirement even with parental or guardian supervision. The following conditions apply:

  1. No Proxy or Supervised Use Allowed
    Users may not allow children or minors to access or interact with the Chariot platform through their account, whether supervised or unsupervised. This includes chat sessions, AI interactions, image uploads, or document analysis.


  2. No Exceptions for Consent or Guardian Approval
    Chariot does not recognize parental permission, guardian oversight, or proxy agreements as valid substitutes for compliance with our minimum age requirement (see Section 9.2 and 9.3).


  3. Strict Enforcement
    Any account found to be granting access to a minor, even in a supervised or educational setting, is subject to immediate suspension or permanent termination, with all associated content and data deleted.


  4. Compliance with Child Privacy Laws
    This policy is enforced to ensure full compliance with child data protection laws, including the Children’s Online Privacy Protection Act (COPPA) in the United States and other international standards governing minors' digital activity.


  5. Non-Transferable Rights
    Account rights are non-transferable. An adult user may not “share” or “delegate” access to any minor for the purpose of using Chariot’s AI features or outputs.




By using Chariot, you acknowledge and accept that no child or minor may access the platform under any condition, and that violations of this clause will result in permanent removal and possible legal notification depending on jurisdiction.



9.12 Survival of Eligibility Terms

9.12 Survival of Eligibility Terms

The eligibility requirements outlined in Section 9—including but not limited to age restrictions, territorial access, user identity obligations, and prohibited user classifications—shall survive any of the following:

  • Account closure or deactivation


  • Uninstallation or deletion of the Chariot app


  • Termination or suspension of Services


  • Any lapse or cancellation of a subscription


  • Any subsequent access or attempted access under a new or altered account


These terms remain binding and enforceable regardless of whether a user continues to maintain an active account. Violations of eligibility terms at any time, whether past, present, or future, may be grounds for retroactive termination, content deletion, legal notification, or denial of future access to Chariot's Services.



This clause ensures Chariot retains the full right to act on eligibility breaches even after a user has disengaged with the platform or attempted to rejoin under different circumstances.
